These Terms of Use (the “Terms”) form a binding agreement between you and Best India Sourcing (“BIS”, “we”, “us”). By accessing this website or using our services, you agree to these Terms and our
Privacy Policy. If you do not agree, do not use the site or services.
Agreement to Terms
We may update these Terms periodically. Updates will be posted here with a new “Last updated” date. Your continued use after changes constitutes acceptance.
Our Role (Agent, Not a Marketplace)
- We act as a sourcing agent for buyers, helping identify vetted suppliers, negotiate prices/MOQs, manage samples, guide labeling/packaging, coordinate inspections, and coordinate export logistics.
- We are not a marketplace or escrow. Contracts and payments for goods are directly between you and the supplier/logistics provider. We do not take title to goods.
Eligibility & Business Use
You confirm you have authority to bind your business and that you are using the site and services for business purposes. You are responsible for compliance with import/export laws in your jurisdiction.
Services Scope & Exclusions
Included services typically cover:
- Supplier identification and shortlist (3–5 vetted where feasible)
- Price & MOQ negotiation support
- Sample collection and consolidation
- Labeling & packaging guidance (e.g., FNSKU/MRP)
- Quality inspection coordination (AQL) where requested
- Logistics/export coordination and documentation handover
Exclusions unless agreed in writing: product design/engineering, certification issuance, MSDS/testing, customs brokerage, duties/taxes, insurance, warehousing.
User Responsibilities
- Provide accurate specs, target price, and order quantities; respond to queries promptly.
- Make payments directly to suppliers/logistics providers and comply with their terms.
- Ensure your products meet destination‑market laws and standards.
Compliance & Labeling
We provide guidance, but final responsibility for regulatory compliance and labeling rests with you. Requirements vary by country, product type, and sales channel (e.g., Amazon).
Samples, Shipments & Risk
- Lead times, transit times, and quotes are estimates, not guarantees.
- Risk of loss passes as per your agreed Incoterms with the supplier or shipper. Duties, taxes, and insurance are your responsibility unless otherwise stated.
Quality Inspections (AQL) Disclaimer
Inspections are sampling‑based and reflect a snapshot at the time of inspection. They are not a warranty of full conformity. You are responsible for final ship/no‑ship decisions.
Fees, Payments & Refunds
- Our service fee is typically per product (see Pricing for current packages). A dual‑product offer may be available.
- Third‑party costs (samples, courier, travel, inspections, testing, freight, duties, etc.) are paid directly by you to providers unless otherwise agreed.
- Refunds: service fees are generally non‑refundable once work commences, except as required by law or as stated in our Refund Policy.
Non‑Circumvention
For twelve (12) months from supplier introduction, you agree not to bypass BIS and work directly with the introduced supplier for the same or substantially similar products without our written consent.
Prohibited Uses
- Counterfeit or IP‑infringing goods; hazardous or restricted items without compliance.
- Abusive behavior; scraping or disrupting the site or our services.
Intellectual Property
All site content and brand assets are owned by BIS or licensors and protected by law. You may not reproduce or create derivative works without permission.
Confidentiality & NDAs
We treat your product information and communications as confidential. Mutual NDAs can be executed on request. Case studies/testimonials are used only with consent or anonymization.
Third‑Party Tools & Links
We may link to or use third‑party services (e.g., carriers, payments, inspection firms, scheduling). We are not responsible for their content or practices; your use is subject to their terms.
Warranties & Disclaimers
Services and site are provided “as‑is” and “as‑available”. We disclaim all warranties to the fullest extent permitted by law and do not guarantee outcomes, timelines, or supplier acceptance.
Limitation of Liability
To the fullest extent permitted, BIS will not be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for any claim will not exceed the amount you paid to BIS for the specific service giving rise to the claim.
Indemnity
You agree to indemnify and hold BIS harmless from claims arising from your misuse of the site/services, non‑compliance with laws, or infringement of third‑party rights.
Force Majeure
We are not liable for delays or failures due to events beyond reasonable control (e.g., strikes, natural disasters, pandemics, port congestion, customs holds, government acts).
Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Venue: Coimbatore, Tamil Nadu. Parties will attempt resolution via good‑faith negotiation; failing that, mediation/arbitration or the competent courts in Coimbatore.
Changes to Terms
We may revise these Terms periodically. Material changes will be posted here. Continued use after updates constitutes acceptance.
